Clarence Anthony
Founder
Dual-qualified lawyer (UK & India) with 15+ years of expertise in corporate, commercial, and real estate law.
Former equity partner at Trilegal; led significant deals, including M&As, PE/VE investments, and large-scale JV agreements. Notable transactions: Brookfield’s renewables JV, KKR’s acquisitions, and Alpha Wave’s investments.
As Head Legal Officer at Embassy REIT, he played a key role in structuring India’s first listed real estate investment trust.
Proficient in handling complex, high-value transactions, regulatory compliance, and innovative legal solutions.
Currently serves as external General Counsel for PE-owned tech firms, delivering tailored strategies aligned with business objectives.


Varnika Sharma
Co-founding Partner
Varnika Sharma is the Co-founding Partner at Clarence & Partners, leading the firm’s corporate and transactional practice with a focus on venture capital, private equity, mergers and acquisitions, and cross-border investments. With over 17 years of experience, she advises global and domestic investors, founders, family offices and high-growth companies on complex transactions, strategic collaborations and business-critical corporate matters.
In addition to corporate advisory, Varnika has deep expertise in labour and employment law, advising clients across the full employee lifecycle. Her work includes compliance and workplace policy frameworks, senior management exits, compensation structuring, disciplinary processes, and POSH compliance. She regularly supports boards, HR teams and leadership on governance, risk management and people-related legal strategy.
Her sectoral experience spans technology, AI and software, healthcare, media and entertainment, manufacturing, FMCG, retail, hospitality, pharmaceuticals and consumer internet businesses. Varnika advises on joint ventures, corporate restructurings, capital raising, foreign investments, ESOPs, incentive structures and shareholder dynamics. She is enrolled with the Delhi Bar Council (July 2008).


Varun Kumar
Director
Varun Kumar brings over a decade of experience from leading law firms including JSA, Trilegal, Luthra & Luthra, and Shardul Amarchand Mangaldas & Co. A former Partner at JSA, he now advises on corporate matters with a focus on mergers and acquisitions, joint ventures, private equity and venture capital, general commercial advisory, and banking and finance. His approach is solution-oriented and strongly aligned with business objectives.

Aditi Pawar
Consulting Director
Aditi Pawar began her practice as Counsel at the Bombay High Court, handling commercial litigation, writs and contractual enforcement for corporate and private clients. Over time, her work expanded into international disputes, including cross-border arbitration and contract governance involving multi-jurisdictional elements.
Dual-qualified in India and England & Wales, Aditi has 14+ years of experience in commercial litigation, domestic and international arbitration, high-value commercial disputes, and award enforcement. She has worked on matters administered under ICC, SIAC, LCIA, LMAA, GAFTA, in addition to ad-hoc proceedings. Her advisory focus includes arbitration structure, governing law, jurisdictional strategy and execution through to award implementation.
Her work spans disputes involving commercial contracts, energy and infrastructure projects, joint ventures, real estate development, private equity transactions and shareholder rights. Aditi has appeared before the Supreme Court of India, multiple High Courts, NCLT and arbitral tribunals, and continues to advise on matters with parallel English-law considerations and also been part of disputes and advisory mandates involving organisations such as ONGC, JSW Steel, Ashapura Minechem, Metro Shoes, Breach Candy Club, ITC and Sakuma Exports, among others.

Associate Partner
Indian-qualified lawyer with 14+ years of experience advising top-tier clients in diverse sectors, including electronics, automotive, FMCG, pharma, and infrastructure.
Former roles include Counsel at Lumiere Law Partners (EY LLP) and Senior Associate at Luthra & Luthra.
Expertise spans regulatory compliance, commercial transactions, and corporate governance. Notable achievements: GST implementation for HUL, strategic legal advice for AML compliance, and sector-specific compliance health checks.
Proven track record in dispute resolution, representing CEAT, LVMH, Mitsubishi, and Walt Disney in high-stakes cases before courts and regulatory bodies. Focused on delivering practical, business-aligned legal solutions tailored to client needs.
